Terms of Service

1. Acceptance of Terms
By accessing or using Overpay, you agree to be bound by these Terms of Service. If you do not agree to these terms, do not use the service.
2. Description of Service
Overpay is operated by FathomX, Inc., a Delaware corporation. Overpay is a purchasing service that allows users to buy products and services using Zcash (ZEC) cryptocurrency. We act as an intermediary, facilitating purchases on your behalf from third-party retailers and marketplaces.
3. Accounts
Accounts are identified by randomly generated account numbers and optionally usernames. You are responsible for keeping your account number and any associated credentials secure. We cannot recover lost account numbers.
4. Orders and Payments
- All prices are displayed in both USD and ZEC. ZEC amounts are calculated using an exchange rate provider of our choice at the time the quote is generated.
- A variable service fee is applied to all orders.
- Payments must be completed before the order expires. Unpaid orders are automatically cancelled.
- Once a payment is confirmed on the Zcash blockchain (3 confirmations), it is non-refundable except at our discretion.
5. Order Fulfillment
We make reasonable efforts to fulfill all paid orders. However, we cannot guarantee availability of products from third-party retailers. If an order cannot be fulfilled, we will work with you to find a resolution, which may include a refund in ZEC.
6. Prohibited Uses
You agree not to use Overpay to:
- Purchase illegal items or items prohibited by the laws of the United States of America
- Engage in fraud or money laundering as defined by United States federal law
- Abuse, harass, or harm others
- Compromise any other Overpay user's privacy
- Harm any other Overpay user in any way
- Harm any cryptocurrency network, including but not limited to Zcash
- Deny service to or harm users of any other service in any way
- Make any false claims or misrepresentations
- Infringe on any other entity's intellectual property as defined by United States federal law
- Interfere with the operation of the service
7. Agentic Use
AI agents, bots, and other automated systems are explicitly permitted to use Overpay, provided they comply with all of these Terms of Service and all applicable laws of the State of Delaware and the United States of America. The operator of any agent or bot is responsible for ensuring that its use of the service adheres to these terms.
8. Limitation of Liability
Overpay is provided "as is" without warranties of any kind. We are not liable for any indirect, incidental, or consequential damages arising from your use of the service. Our total liability is limited to the amount you paid for the specific order in question.
9. Right to Refuse Service
We reserve the right to refuse access to our service to any entity, human or otherwise, at any time and at our sole discretion.
10. Service Availability
Overpay is currently in alpha. We reserve the right to modify, suspend, or discontinue the service at any time without notice. We are not liable for any modification, suspension, or discontinuation of the service.
11. Governing Law
These Terms of Service and any disputes arising from your use of Overpay shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions. Any legal action or proceeding shall be brought exclusively in the courts located in the State of Delaware.
12. Changes to Terms
We may update these terms from time to time. Continued use of the service after changes constitutes acceptance of the new terms.
